Terms of Service

1. Agreement
By downloading, installing, or using TC-01 Tone Calculator ("the App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App. The App is published by Kaini Instruments Ltd ("we", "us", "our").
2. The App
TC-01 Tone Calculator is an algorithmic melody generator available as a web app, Android app, and desktop application. The App is provided free to download with optional paid features unlocked via a Pro license.
3. Free and Pro Tiers
3.1 Free Tier
The free version of the App provides access to the core melody generation features, including voice recording, motion/contour/rhythm presets, microtonal support, and the note edit tracker. No account or payment is required.
3.2 Pro Tier
A Pro license unlocks additional features, including:
- Save and recall sessions
- Export audio and MIDI files
- Edit mode (advanced note editing)
- Add custom instruments (user-supplied audio samples)
Pro features require the purchase and activation of a valid license key.
4. License Key Terms
4.1 Purchase
Pro licenses are sold through Lemon Squeezy, our merchant of record. By purchasing a license, you also agree to Lemon Squeezy's Buyer Terms.
4.2 Activation Limit
Each Pro license key may be activated on up to two (2) devices (for example, one desktop and one mobile device). Activation requires an internet connection. If you need to move an activation to a new device, you can deactivate an existing instance from within the App to free up a slot.
4.3 Licence Restrictions
You may not:
- Share, sell, sublicense, or distribute your license key to any third party
- Use a single license key beyond the permitted activation limit
- Attempt to bypass, tamper with, or reverse-engineer the licensing system
4.4 Revocation
We reserve the right to revoke a license key if it is found to be shared, resold, or used in violation of these Terms. In such cases, no refund will be issued.
5. Refund Policy
Refunds are available within 14 days of purchase if you experience a verified technical issue that prevents the Pro features from functioning as described, and the issue cannot be resolved by our support team.
Since the free version allows you to fully evaluate the App's core functionality before purchasing, refunds are not offered for:
- Change of mind
- Failure to read the feature descriptions before purchasing
- Incompatibility with unsupported platforms or browsers
To request a refund, contact support@kaini-instruments.com with your order number and a description of the issue. Upon refund, your license key will be deactivated.
6. Intellectual Property
6.1 Our IP
The App, its code, design, branding, and all built-in content (presets, samples, algorithms) are the intellectual property of Kaini Instruments Ltd. Your license grants you the right to use the App, not to copy, modify, or redistribute it.
6.2 Your Content
Melodies, recordings, custom instruments, and other content you create using the App belong to you. We claim no ownership or rights over your creations. You are free to use your exported melodies in any personal or commercial project without restriction or attribution.
7. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or disassemble the App
- Remove or alter any copyright notices or branding
- Use the App in any way that violates applicable law
8. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or compatible with all devices or browsers. Musical output is generated algorithmically, and we make no guarantees regarding the quality, originality, or fitness of generated melodies for any particular purpose.
9. Limitation of Liability
To the maximum extent permitted by law, Kaini Instruments Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of data, loss of profits, or loss of creative work. Our total liability for any claim related to the App shall not exceed the amount you paid for the Pro license.
10. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the App after changes constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
